1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the website www.joindelphi.co (the "Site") and any related services provided by Delphi Community Ltd, a company registered in England and Wales under company number 17228041, whose registered office is at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ ("Delphi", "we", "us", "our").

By creating an account, browsing, or otherwise using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site. Please also read our Privacy Policy, which explains how we collect and use your personal data and forms part of your agreement with us.

We may update these Terms from time to time in accordance with Clause 14. Continued use of the Site after changes take effect means you accept the revised Terms.

2. Who We Are and What We Do

Delphi is a women-only flatsharing platform. We provide a space where women can create profiles, list or search for rooms and flatshares, and connect with one another to arrange shared living accommodation.

Delphi is not an estate agent, letting agent, landlord, or party to any tenancy, licence, or accommodation agreement made between users. We do not own, manage, or let any property advertised on the Site, and we are not involved in the negotiation or performance of any agreement between users. Any arrangement you enter into with another user is solely between you and that user, at your own risk.

3. Eligibility and the Women-Only Policy

3.1 Delphi is intended exclusively for women. By registering an account, you confirm and declare that you are a woman. We rely on this self-declaration when you sign up and do not currently require photographic ID or other documentary proof of identity or gender.

3.2 We reserve the right, at our discretion, to request additional information to verify a declaration made under this Clause, and to suspend or remove any account where we reasonably believe the declaration made at sign-up was false or where an account is being used in a way that is inconsistent with the women-only purpose of the Site.

3.3 You must be at least 18 years old to use the Site.

3.4 You must provide accurate, current, and complete information when creating your account and keep this information up to date. You are responsible for maintaining the confidentiality of your account login details and for all activity that takes place under your account.

4. Registration and Accounts

4.1 You may browse limited parts of the Site without registering, but you must create an account to access most features, including messaging other users and listing or responding to flatshare posts.

4.2 One account per person. You may not create an account on behalf of someone else or share your account with any other person.

4.3 We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have breached these Terms, provided false information, or used the Site in a way that puts other users at risk.

5. Premium Membership

5.1 Certain features of the Site ("Premium Features") are only available to users who purchase Premium access.

5.2 The current price for Premium access is shown on the Site at the point of purchase. Payment of the price shown grants you access to Premium Features for a period of one (1) calendar month from the date of purchase.

5.3 This is a one-off, non-recurring payment. Your card will not be charged automatically at the end of the one-month period, and your Premium access will simply expire unless you choose to make a new payment to renew it. We will not store your payment details for the purpose of automatic renewal.

5.4 All prices are shown in pounds sterling (GBP) and are inclusive of any applicable VAT unless stated otherwise. We reserve the right to change the price of Premium access at any time; any change will not affect a period of access you have already paid for, and will take effect only for purchases made after the change.

5.5 Payments are processed by our third-party payment provider, Stripe, Inc. We do not store your full card details. By making a payment you also agree to Stripe's applicable terms and privacy policy, available at stripe.com/legal.

6. Cancellations and Refunds

6.1 Premium access is a form of digital service. Because it is a single one-month, non-recurring purchase, once you begin using the Premium Features (for example, by accessing a Premium-only area of the Site), you acknowledge that you are consenting to immediate performance of the service and, to the extent permitted by the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you lose the right to a cooling-off cancellation once access has been used.

6.2 If you have not accessed or used any Premium Features, you may request a cancellation and refund within 14 days of purchase by contacting us at marilyn@joindelphi.co.

6.3 We may, at our sole discretion, offer a refund or credit outside of the above circumstances, including where there has been a technical fault preventing your use of Premium Features.

6.4 Nothing in this Clause affects your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection law.

7. User Conduct

You agree that you will not use the Site to:

• provide false, misleading, or impersonated information, including about your identity, gender, or the accommodation you are offering or seeking;
• harass, threaten, abuse, stalk, or otherwise harm another user;
• post or send content that is unlawful, defamatory, discriminatory, obscene, or infringes another person's rights;
• advertise accommodation you do not have the legal right to let or sub-let;
• use the Site for any commercial purpose not expressly permitted by us, including unsolicited advertising, spam, or scraping data;
• attempt to circumvent, disable, or interfere with the security or proper functioning of the Site.

We may remove any content and suspend or terminate the account of any user who we reasonably believe has breached this Clause.

8. Listings and User-Generated Content

8.1 Any profile information, flatshare listing, message, photo, or other content you submit to the Site ("User Content") remains your responsibility. You are solely responsible for ensuring your User Content is accurate, lawful, and does not infringe the rights of any third party.

8.2 By submitting User Content, you grant Delphi a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display that content on the Site for the purpose of operating and promoting the Site.

8.3 We do not verify, endorse, or guarantee the accuracy of any listing, profile, or statement made by users, including claims about a property, its condition, its price, or the identity of the person posting it. You are responsible for carrying out your own checks (such as viewing a property in person, verifying identity, and using safe payment methods) before entering into any arrangement with another user.

8.4 We may, but are not obliged to, moderate, edit, or remove any User Content at our discretion, including where we believe it breaches these Terms.

9. Safety

Delphi provides a platform to help women find and offer flatshares, but we cannot guarantee the conduct, identity, or intentions of any user, nor the safety, condition, or legality of any property advertised. You are strongly encouraged to:

• meet in public places and tell someone else where you are going before meeting another user or viewing a property in person;
• avoid sending money or a deposit before you have verified the identity of the other party and, ideally, viewed the property;
• use secure and traceable payment methods for any deposit or rent;
• report any suspicious, abusive, or fraudulent behaviour to us at marilyn@joindelphi.co and, where appropriate, to the police.

We are not liable for any loss, harm, or damage arising from your interactions or arrangements with other users, except to the extent such liability cannot be excluded by law.

10. Intellectual Property

10.1 Except for User Content, all content on the Site, including text, graphics, logos, the Delphi name and branding, and the underlying software, is owned by or licensed to Delphi and is protected by intellectual property laws.

10.2 You may not copy, reproduce, distribute, or create derivative works from any part of the Site without our prior written consent, other than for your own personal, non-commercial use of the Site.

11. Disclaimers

11.1 The Site is provided "as is" and "as available". We do not guarantee that the Site will be uninterrupted, secure, or error-free, or that any listing will result in a successful flatshare arrangement.

11.2 To the fullest extent permitted by law, we exclude all warranties, express or implied, regarding the Site, its content, and the conduct of other users.

12. Limitation of Liability

12.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded or limited under English law.

12.2 Subject to Clause 12.1, we shall not be liable to you for any indirect or consequential loss, or for any loss arising from your use of, or reliance on, the Site, including loss arising from your interactions with other users or third-party accommodation arrangements.

12.3 Subject to Clause 12.1, our total liability to you arising out of or in connection with these Terms, whether in contract, tort, or otherwise, shall not exceed the greater of £50 or the total amount you have paid to us for Premium access in the 12 months preceding the event giving rise to the claim.

13. Termination

13.1 You may close your account at any time by contacting us at marilyn@joindelphi.co.

13.2 We may suspend or terminate your access to the Site immediately if you breach these Terms, or for any other reason with reasonable notice where practicable.

13.3 Termination of your account does not entitle you to a refund of any Premium access already used, except as set out in Clause 6.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will post the updated Terms on the Site with a revised "Last updated" date. Where changes are material, we will use reasonable efforts to notify registered users, for example by email.

15. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any such dispute, except that if you are a consumer resident elsewhere in the UK, mandatory local consumer protection laws may also apply.
